Subscription Agreement

1. Introduction

This Subscription Agreement (“Agreement”) governs your access to and use of bloomsinrows.com (“Service”), provided by Blooms in Rows. By subscribing to or using our Service, you agree to be bound by this Agreement.

2. Subscription Plans

  • Free Plan: Access to core features such as garden planning and tuber inventory.
  • Premium Plan: Access to all features, including advanced analytics and priority support. Pricing: pricing page. Fees may be charged in alternate currencies depending on your location.

3. Account Registration

  • You must provide accurate, current, and complete information during registration and keep your account information up-to-date.
  • You are responsible for safeguarding your password and for all activities under your account.

4. Billing and Payment

  • All payments are securely processed via Stripe.
  • Subscription fees are billed in advance on a recurring basis (monthly or annually).
  • Prices include applicable taxes where required by law, unless otherwise specified.
  • You are responsible for any additional bank fees and currency conversion charges.

5. Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless canceled before renewal. You authorize us to charge the applicable subscription fees using your saved payment method.

6. Cancellation & Termination

  • You may cancel your subscription at any time in your profile within the Service. Cancellation takes effect at the end of the current billing cycle; no further charges will be incurred.
  • We reserve the right to suspend or terminate your access if you materially breach this Agreement or engage in fraudulent or abusive activities.

7. Refund Policy

  • Monthly subscriptions: No refunds for partial months.
  • Annual subscriptions: Pro-rated refunds available within 30 days of purchase; after 30 days, no refunds are provided for the remaining period.
  • Refunds are processed via the original payment method and may take up to 10 business days.

8. Modifications to Service and Pricing

We may modify the Service, subscription plans, or fees at any time. Changes will be communicated at least 30 days in advance. Your continued use after such changes constitutes acceptance.

9. Fair Use Policy

The Service is intended for personal and small commercial dahlia growing operations. Excessive, automated, or abusive usage may result in account limitations or suspension.

10. Data Privacy & Processing

  • We process your personal data in accordance with our Privacy Policy and applicable data protection laws, including GDPR if you are in the EEA/UK.
  • By using the Service, you consent to such processing and represent that you have the authority to provide us with any personal data you submit.

11. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted or error-free service. We may suspend the Service for maintenance, upgrades, or emergencies.

12. Intellectual Property

All content, trademarks, and intellectual property rights in the Service remain the property of Blooms in Rows Ltd or its licensors. You may not copy, modify, or distribute any part of the Service without our written consent.

13. Limitation of Liability

To the maximum extent permitted by law, Blooms in Rows and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Service.

14. Indemnification

You agree to indemnify and hold harmless Blooms in Rows against any claims, damages, liabilities, costs, or expenses arising from your breach of this Agreement or your use of the Service.

15. Governing Law & Dispute Resolution

This Agreement is governed by the laws of New Zealand, without regard to conflict of law principles. Any disputes shall be resolved through the New Zealand Disputes Tribunal or courts unless otherwise required by mandatory law in your country of residence.

16. Consumer Rights

Nothing in this Agreement limits your statutory rights as a consumer under applicable law, including the New Zealand Consumer Guarantees Act 1993 and any mandatory consumer protection laws in your jurisdiction.
